These Terms of Use (“Terms”) govern your access to and use of the Visyva websites, web applications, mobile applications, and related services (collectively, the “Service”) operated by Visyva LLC (“Visyva”, “we”, “us”, or “our”). By accessing or using the Service in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Service.


Important Notice – No Medical Advice

Visyva does not provide medical advice, diagnosis, or treatment. The Service and all outputs are for informational and wellness purposes only and are not a substitute for professional medical advice.

Visyva LLC has a perpetual duration and is organized to conduct any and all lawful business for which limited liability companies can be organized under the laws of the State of Delaware.


2. Description of the Service

Visyva is an AI-powered platform that may include, among other things:

  • face scanning and facial analysis using your device’s camera;
  • generation of aesthetic and wellness reports based on facial analysis;
  • product suggestions (e.g., skincare, wellness, essential oils, cosmetic products) tailored to your profile;
  • personalized user accounts and dashboards for storing and reviewing your scans and reports;
  • tools and dashboards for distributors/consultants (e.g., referral links, client management, appointment scheduling), where available.

We may add, change, or remove features at any time, at our sole discretion.


3. Eligibility and Global Use

3.1. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or use the Service independently.

3.2. If you are under 18, you may only use the Service under the supervision and consent of a parent or legal guardian, and only where the Service is legally permitted.

3.3. The Service is operated from the United States, but is accessible worldwide. By using the Service, you acknowledge that your data may be processed in the United States and other countries, which may have different data protection laws than your country of residence. Please refer to our Privacy Policy for details.

3.4. You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction.


4. No Medical Advice / Wellness-Only Use

4.1. The Service, including all analyses, scores, recommendations, and content, is intended solely for general informational and wellness purposes.

4.2. The Service does not:

  • provide medical or dermatological diagnosis;
  • prescribe treatments or medications;
  • monitor or manage any disease, condition, or health status.

4.3. The outputs may reference aspects of your appearance, lifestyle, skin, or perceived wellness, but they are not clinical data and must not be used to make decisions about diagnosis, treatment, or prevention of any medical condition.

4.4. You should always consult a licensed physician, dermatologist, or other qualified healthcare professional for any questions or concerns regarding your health, skin condition, or treatment. Never disregard professional medical advice or delay seeking it because of something you read on or received from the Service.

4.5. To the fullest extent permitted by law, we disclaim any responsibility for health decisions you make based on the Service.


5. Accounts and Security

5.1. To access certain features, you may be required to create an account and provide accurate, current, and complete information.

5.2. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

5.3. You agree to:

  • notify us immediately at support@visyva.com of any unauthorized use or suspected breach of security;
  • not share your account or credentials with any other person;
  • not use another person’s account without their permission.

5.4. We reserve the right to suspend or terminate accounts that violate these Terms or pose a security or misuse risk.


6. Subscriptions, Payments, and Billing

6.1. Some parts of the Service may be offered for free, while others require a paid subscription, one-time fee, or usage-based pricing (“Paid Services”).

6.2. Details about pricing, billing frequency, inclusions, and limitations of each plan are displayed on the Service and/or during the checkout process and may be updated from time to time.

6.3. Payments are processed via third-party payment processors (e.g., Stripe, Lemon Squeezy, or others). By making a payment, you agree to comply with the terms, conditions, and privacy policies of those providers.

6.4. Automatic Renewal
Unless otherwise stated, subscriptions may automatically renew at the end of each billing period, using the payment method you provided. You can cancel automatic renewal at any time through your account settings or by contacting us before the next billing cycle.

6.5. Refunds
Refunds, if any, are granted at our sole discretion except where required by applicable law or explicitly stated in our refund policy. Unless otherwise specified, amounts already paid for periods of active subscription are non-refundable.

6.6. Taxes
Prices may exclude sales taxes, VAT, or other applicable taxes. You are responsible for any such taxes unless we explicitly state otherwise.


7. User Content and Facial Images

7.1. By using the Service, you may upload or provide:

  • facial images, selfie videos, or other media;
  • profile information and wellness-related inputs;
  • text, notes, or other content (collectively, “User Content”).

7.2. You represent and warrant that:

  • you own or have all necessary rights to upload and use the User Content;
  • the User Content does not infringe any third-party rights, including privacy, publicity, or intellectual property;
  • you will not upload images of minors without the consent of a parent or legal guardian;
  • you will not upload content that is unlawful, abusive, hateful, pornographic, violent, or otherwise inappropriate.

7.3. License to Visyva

By uploading User Content, you grant Visyva a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, process, display, and create derivative works from your User Content solely for the following purposes:

  • operating and providing the Service to you (including generating scans, reports, and recommendations);
  • improving, training, and developing our algorithms and AI models, where permitted by applicable law and our Privacy Policy;
  • producing aggregated and/or anonymized statistics and analytics that do not identify you personally.

The use of your personal data is further governed by our Privacy Policy.

7.4. You can delete certain User Content via your account. However, we may retain copies as required by law, for legitimate business purposes, or in backup systems, in line with our data retention practices.


8. Privacy and Data Protection

8.1. Our collection and use of personal data, including any biometric, facial, or wellness-related data, is described in detail in our Privacy Policy, which forms an integral part of these Terms.

8.2. By using the Service, you acknowledge and agree to our data practices as described in the Privacy Policy, including any cross-border data transfers (e.g., to the United States).

8.3. If you are a resident of the European Economic Area (EEA), United Kingdom, or other jurisdictions with specific data protection laws, you may have additional rights (e.g., access, deletion, restriction). These are described in the Privacy Policy.


9. Intellectual Property

9.1. The Service, including all software, algorithms, models, designs, interfaces, text, graphics, logos, icons, images, and other content (excluding User Content), is owned or licensed by Visyva and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

9.2. Except where explicitly allowed by these Terms or applicable law, you must not:

  • copy, modify, distribute, sell, or lease any part of the Service;
  • reverse engineer, decompile, or attempt to extract source code;
  • remove or alter any copyright, trademark, or proprietary notices.

9.3. All trademarks, service marks, and logos displayed in the Service are the property of their respective owners and may not be used without permission.


10. Prohibited Uses

You agree not to use the Service:

  • for any unlawful, fraudulent, or malicious purpose;
  • to harass, abuse, defame, or violate the rights of others;
  • to upload content that is obscene, hateful, discriminatory, or sexually explicit;
  • to attempt unauthorized access to the Service, accounts, or systems;
  • to interfere with or disrupt the operation of the Service (e.g., by introducing malware, overloading servers, etc.);
  • to perform or attempt to perform any data scraping or bulk extraction not expressly authorized by us.

We reserve the right to suspend or terminate your access if we reasonably believe you are violating this section.


11. Third-Party Services and Links

The Service may integrate or link to third-party websites, products, or services (including payment processors, e-commerce platforms, or partner networks). We do not control and are not responsible for the content, terms, or privacy practices of those third parties, or any transactions or interactions you have with them. Your use of third-party services is at your own risk and subject to their separate terms.


12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • THE OUTPUTS (INCLUDING SCORES, ANALYSES, OR RECOMMENDATIONS) WILL BE ACCURATE, COMPLETE, OR RELIABLE;
  • ANY DEFECTS OR ERRORS WILL BE CORRECTED.

YOU USE THE SERVICE AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DECISIONS YOU MAKE BASED ON THE SERVICE.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VISYVA LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT THAT OUR LIABILITY CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  1. THE AMOUNTS YOU HAVE PAID TO VISYVA FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  2. USD $100.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.


14. Indemnification

You agree to indemnify, defend, and hold harmless Visyva LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • your access to or use of the Service;
  • your User Content;
  • your violation of these Terms;
  • your violation of any rights of another person or entity.

15. Governing Law and Dispute Resolution

15.1. These Terms and any dispute arising out of or related to the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

15.2. Venue and Jurisdiction
You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Kent County, Delaware, and you consent to the personal jurisdiction of such courts.


16. Changes to the Service and to These Terms

16.1. We may modify, suspend, or discontinue any part of the Service at any time, temporarily or permanently, with or without notice.

16.2. We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top.

16.3. If you continue to use the Service after the updated Terms have been posted, you will be deemed to have accepted the changes. If you do not agree, you must stop using the Service.


17. International Users and Language

17.1. The Service may be translated into different languages for convenience. However, the English version of these Terms shall govern in case of any inconsistency or conflict.

17.2. If you access the Service from outside the United States, you are responsible for complying with local laws to the extent they apply, and you consent to the processing and transfer of your information as described in our Privacy Policy.


18. Miscellaneous

  • If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Our failure to enforce any right or provision will not be deemed a waiver of such right.
  • You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
