These Terms of Use ("Terms") govern your access to and use of the Visyva platform, website, and related software and services (collectively, the "Service"), operated by Visyva LLC, a Delaware limited liability company, with its principal address at 8 The Green, Dover, DE 19901, United States ("Visyva," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Description of the Service

Visyva provides a software-as-a-service (SaaS) platform that offers AI-powered visual analysis and educational tools designed to support general product education, user engagement, and informational insights. The Service may analyze user-submitted images and inputs to generate non-diagnostic, non-decision-making, informational outputs. All outputs are intended solely for general informational and educational purposes. Visyva does not provide medical, health, legal, or professional advice.


2. No Medical or Professional Advice

The Service is not a medical device, clinical tool, or diagnostic system. The Service does not provide medical advice, diagnoses, treatments, or health recommendations.

The Service is not intended to prevent, diagnose, treat, or cure any disease or medical condition.

Outputs generated by the Service are informational only and must not be relied upon as a substitute for professional advice.

Always seek the advice of a qualified professional regarding any health-related or other professional decisions.


3. AI-Generated Outputs and Limitations

You acknowledge and agree that:

  • Outputs generated by the Service are produced using automated and probabilistic AI systems;
  • Outputs may be incomplete, inaccurate, or based on limited information;
  • Visyva does not guarantee the accuracy, completeness, or suitability of any output;
  • You remain solely responsible for how you interpret or use any information provided by the Service.

4. Images, Facial Analysis, and Biometric Disclaimer

The Service may process user-submitted images for visual and informational analysis purposes only.

  • The Service does not perform identity verification or facial recognition;
  • The Service does not use images to identify individuals;
  • The Service does not create or store biometric identifiers for identification purposes;
  • Images are processed solely to generate informational visual outputs.

You represent that you have all necessary rights and consents to upload any images submitted to the Service.


5. Eligibility and Accounts

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.


6. Acceptable Use

You agree not to use the Service to:

  • Make medical, therapeutic, or diagnostic claims;
  • Misrepresent the Service as providing professional advice;
  • Upload unlawful, infringing, or misleading content;
  • Reverse engineer, exploit, or interfere with the Service;
  • Use the Service for deceptive, fraudulent, or unlawful purposes.

Visyva reserves the right to suspend or terminate access for violations of these Terms.


7. Intellectual Property

All content, software, and materials provided through the Service are owned by or licensed to Visyva and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.


8. Third-Party Services

The Service may integrate or interact with third-party platforms or services. Visyva is not responsible for third-party content, services, or policies.


9. Fees, Payments, and Subscriptions

Certain features of the Service may require payment. All fees are disclosed prior to purchase. Unless otherwise stated:

  • Fees are non-refundable;
  • Subscriptions renew automatically unless canceled in accordance with the cancellation policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISYVA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISYVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. VISYVA'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VISYVA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


12. Indemnification

You agree to indemnify and hold harmless Visyva from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.


13. Termination

Visyva may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms.


14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.


15. Changes to These Terms

Visyva may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
